1. Services Description

3. Payment Terms

• Payment is required before work begins
• All fees are in USD and non-refundable except as stated in our refund policy
• Prices may change with 30 days notice
• Failed payments may result in service suspension

4. Refund Policy

Eligible Refund Scenarios

You may request a refund within 7 days of report delivery only if:

• Substantial service failure: We failed to deliver a report meeting our stated methodology
• Processing error: Technical issues prevented proper review completion
• Scope mismatch: We reviewed significantly different code than agreed upon

Non-Refundable Scenarios

Refunds are NOT available if:

• We delivered a comprehensive report following our standard methodology
• You disagree with our findings or recommendations
• We found fewer issues than you expected
• Issues we missed are discovered later
• Your code was deemed to be of higher quality than anticipated
• You decide not to implement our recommendations

Important: The absence of findings in our report does not guarantee your code is issue-free. Clean code is not grounds for a refund.

5. Your Responsibilities

When using our services, you agree to:

• Provide accurate project information
• Ensure you have the right to share the code for review
• Grant read-only access to specified repositories
• Respond to reviewer questions in a timely manner
• Not share your account access with others
• Use our services only for legitimate business purposes

6. Code Confidentiality

We understand your code is valuable intellectual property. We commit to:

• Treating all code as strictly confidential
• Having all reviewers sign comprehensive NDAs
• Using ephemeral review environments
• Permanently deleting all code after review completion
• Limiting access to assigned reviewers only

7. Service Scope and Limitations

Our services are limited to:

• Best-effort analysis of source code provided by you
• Static code review using industry-standard methodologies
• Recommendations based on commonly accepted best practices
• Point-in-time assessment of the submitted code version only
• Identification of issues detectable through manual code review

We explicitly do NOT guarantee or warrant:

• Complete security: No code review can identify 100% of security vulnerabilities
• Zero defects: Some issues may not be detectable through static analysis
• Runtime behavior: How code performs in production environments
• Future security: New vulnerabilities discovered after review
• Third-party dependencies: Security of external libraries or services
• Infrastructure security: Server, network, or deployment configurations
• Data security: How you handle, store, or transmit data
• Compliance: Meeting specific regulatory or industry standards

No Security Guarantee

You acknowledge and agree that:

• Software security is inherently complex and evolving
• No review process, automated or manual, can identify all potential issues
• New vulnerabilities and attack vectors are discovered regularly
• Our review represents industry best practices at the time of review only
• You remain solely responsible for your application's security

8. Delivery and Service Level

• Review reports are delivered within stated timeframes
• Delivery times start after payment confirmation and repository access
• Rush services may be available for additional fees
• Technical delays will be communicated promptly

9. Limitation of Liability

Maximum Liability Cap

Our total aggregate liability for any and all claims arising from or related to our services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), shall not exceed the total amount you paid to us for the specific service that gave rise to the claim.

Excluded Damages

Under no circumstances shall we be liable for:

• Security breaches or data loss that occur after our review
• Financial losses from undetected vulnerabilities or code defects
• Business interruption or loss of profits, revenue, or business opportunities
• Indirect or consequential damages of any kind
• Punitive or exemplary damages
• Third-party claims against you related to your software
• Regulatory fines or penalties you may incur
• Cost of remediation or emergency response services
• Loss of data, reputation, or goodwill

Industry Standard Limitation

You acknowledge that:

• These liability limitations are standard in the software consulting industry
• Our service fees reflect these limitations
• You are obtaining advisory services, not insurance or guarantees
• You should maintain appropriate cybersecurity insurance

Your Responsibility

You agree that you are solely responsible for:

• Making the final decision on whether to implement our recommendations
• Testing any code changes in appropriate environments
• Maintaining security controls and monitoring
• Keeping your software and dependencies updated
• Obtaining appropriate insurance coverage for your business

10. Indemnification

You agree to defend, indemnify, and hold harmless GetProdReady, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising from or related to:

• Your use of our services or reports
• Your software, applications, or systems
• Security breaches, data loss, or system failures involving your software
• Third-party claims related to your software or its operation
• Your failure to implement security best practices
• Regulatory violations or compliance failures
• Your breach of these Terms or applicable law

This indemnification applies even if such claims arise from issues that our review process did not identify.

11. Intellectual Property

• You retain all rights to your source code
• Our reports and methodologies remain our intellectual property
• You may not redistribute or resell our reports
• You may use report findings to improve your code

11. Prohibited Uses

You may not use our services to:

• Review code you do not own or have permission to review
• Submit malicious code or malware
• Attempt to reverse engineer our methodologies
• Violate any applicable laws or regulations
• Compete with or harm our business

12. Privacy and Data Protection

13. Termination

Either party may terminate services:

• With written notice if the other party breaches these Terms
• Immediately if required by law
• We may suspend services for non-payment
• You may cancel before work begins for a full refund

• Disputes will be resolved through binding arbitration
• Arbitration will be conducted in English
• Small claims court disputes are excluded from arbitration
